Other than for this limited license, we do not grant users any other rights or license with respect to this Site The data on this Site (including, without limitation, price and availability of RF cable assemblies, RF components and other miscellaneous electronic components, including value added services), as well as the medium or development used to provide such information, is unique and proprietary to PriceRF.com and/or its 3rd party service/component suppliers (RF components, cable assemblies, assembly services and other affiliates).
 
Accordingly, as a provision of using the PriceRF.com Site, you agree not to use this Site or its contents for any purpose that is unlawful or prohibited by this Agreement. While limited copies of quotes are permitted (and associated documents) for purchasing/engineering approval of quotes presented through this Site, you agree not to distribute, copy, transmit, modify, display, perform, replicate, publish, create derivative works from, license, transfer, sell or re-sell, any information, quotes, products or services received or obtained from the PriceRF.com Site. Additionally, you agree not to:
i. View, track or replicate any portion of this Site using any automated tools, including scripts or programs such as a spider, robotic script, scraper or any additional means of automated retrieval or any process which entails manual processes of data retrieval for any purpose without the express written consent of the Site administrators;
ii. circumvent, bypass or override any measures including robot or spider exclusion headers on this Site intended to limit to eliminate access to the Site;
iii. any process which at the discretion of PriceRF.com is deemed to be unreasonable or may place a disproportionally heavy load on the PriceRF.com servers or Site response time;
iv. creation of any hyperlink or deep-link to any part of the Site (including, without limitation, any (RFQ) request for quote path related to any quoting services) for any reason;
v. advocate or deliver any illegal data (as per local, state, federal, international laws or regulations) or content via this Site;
vi. make available by any means including delivery or presentation of material or links to, any content which may contain or could be considered illegal or harmful, including, defamatory, lewd, pornographic, obscene, indecent, abusive, violent, harmful, profane, threatening, insulting, torturous, hateful, libelous, false harassing or deemed objectionable;
vii. make available by any means including delivery or presentation of links to, any postings containing content that degrades, harasses, victimizes, intimidates or threatens a person or group on the basis of race, age, sexual orientation, religion, ethnicity, gender or disability;

PriceRF.com may only be used to submit current and legitimate Request For Quotes (RFQ), or bids. All requestors (Users) shall not submit any RFQs that are speculative, future dated or fraudulent or submit a request under false pretentions such as using a fictitious name. Requests which are made in anticipation of future demand are also not permitted. If you utilize the services of PriceRF, you represent that you are eighteen years or older or you are of sufficient legal age to adhere to legal obligations which may be binding, for any liability which you may incur as a result of PriceRF.com Site usage. You agree to submit truthful and current information associated with your use of the PriceRF.com Site. Fraudulent users will be prosecuted to the fullest extent of the law. Users also agree to update their account information in a prompt manner so as to keep the account current and up to date.
PriceRF.com reserves the right to cancel or refuse any request for quote that may have been made, or is believed to have been made in violation of any of the Site terms, International, Federal, State or local laws.
 
IV. User Accounts, Security and Passwords
The services provided by PriceRF.com may be utilized if Users complete the registration process and submit accurate, current and complete information as required by the user account registration form. The responsibility falls upon the User (You) to maintain the accuracy of your registration data. Any loss endured as a result of failing to do so, is the responsibility of the user.
During the registration process, users will be required to select a security question. The confidentiality and security of this security question is entirely your responsibility. Additionally, you agree to promptly inform PriceRF.com regarding any illegal or unauthorized use of your user account. PriceRF.com will not be held liable for any loss incurred by you, or by someone else using your account, either with or without your knowledge.
 
V. Privacy Policy
You confirm and agree that our Privacy Policy, has been read and the terms incorporated herein, of this policy are satisfactory and reasonable to you. You agree to the use of your personal data by PriceRF.com and or its affiliates, distributors or service providers in accordance to the terms of, additionally for the purposes present in our Privacy Policy and the terms of our affiliates. PriceRF.com, to the extent allowed by law, makes no warranty or representation in relation to the adequacy of the security protocols used for information handling or storage. Any actual or consequential losses or damages that result from a lapse in conformity to the Privacy Policy because of a security breach or technical malfunction will not be held as the responsibility of PriceRF.com.

FURTHER AND TO THE EXTENT PERMITTED BY LAW, NO RESPONSIBILITIES ARE ACCEPTED FOR ANY DAMAGE AND/OR DELAY DUE TO COMPONENT INAVAILABILITY, COUNTERFEIT COMPONENTS, DEFECTIVE COMPONENTS, SICKNESS, PILFERAGE, LABOR DISPUTES, TERRORISM, BANKRUPTCY, MACHINERY BREAKDOWN, QUARANTINE, GOVERNMENT RESTRAINTS, WEATHER, OR CAUSES BEYOND THE COVERED PARTIES’ CONTROL. NO RESPONSIBILITY IS ACCEPTED FOR ANY ADDITIONAL EXPENSE, OMISSIONS, DELAYS, FAILURE TO MAKE CONNECTIONS, RE-ROUTING OR ACTS OF GOVERNMENTAL AUTHORITY.
NO COVERED PARTY SHALL BE RERSPONSIBLE FOR ANY OTHER WRONG DOING OF A SERVICE/COMPONENT PROVIDER (INCLUDING ANY LIABILITY IN TORT), AS TO ANY SERVICES OR PRODUCTS AVAILABLE THROUGH THIS SITE. NO COVERED PARTY SHALL BE RESPONSIBLE FOR ANY SERVICE/COMPONENT PROVIDER’S FAILURE TO COMPLY WITH FEDERAL, STATE, PROVINCIAL AND LOCAL LAW, NOR FOR ANY SERVICE/COMPONENT PROVIDER’S FAILURE TO COMPLY WITH THIS AGREEMENT.
 
IX. Indemnification
You concur to support, defend as well as indemnify PriceRF.com and the Covered Parties from and against any causes of action, claims, recoveries, demands, losses, fines, damages, penalties or other expenses or costs of any kind or nature including but not in limitation to reasonable accounting and consulting fees, brought (a) specifically by you or (b) on the behalf of you which exceeds the liability described previously; or (c) by 3rd parties as a result of:
I. the breach of this Agreement by you
II. violation of any judicial law or the rights of an affiliate or third party by you; or
III. any such use of this Site by you that is in violation of this Agreement.
 
X. Third Parties
If this Site is used by you to put forward a Request for Quote for or on behalf of an affiliate or third-party (“Third-party”), such as a colleague, you are entirely responsible for all errors in the accuracy of data provided, you are required to inform the Third-party regarding all Terms and Conditions applicable to all products or services procured through any of our affiliates. All Users which utilize this Site either for or on behalf of another individual or entity (Third-party) agrees to hold harmless and indemnify each Covered Party from and against all damages, losses, liabilities, claims, suits and (including the costs of defense), as related to the Third-party’s or the User’s failure to fulfill any of the obligations stated above. You are directly responsible for all submitted Requests including the associated total charges and related performance requirements and obligations.
 
XI. User Comments, Feedback, and Other Submissions
All comments, statements, feedback, suggestions, complaints and ideas, submitted, disclosed or offered to PriceRF.com in connection with your use of this Site, or the use of any of the number of PriceRF.com social media accounts, including Facebook® page or Twitter® page, collectively, (Comments), shall be and remain the exclusive property of PriceRF.com and may be implemented by PriceRF.com in any form via any medium which is in accordance with our Privacy Policy and you agree to produce any documents that could be necessary for assignment of such rights. With comments provided to PriceRF.com, you are demonstrating your agreement and consent to the use of your comments by PriceRF.com. The comments you make may be used on the Site and in advertisements including online, print, television and radio. Your first name and/or the first initial of your last name, including your home town and state may also be utilized with any submitted comments. XII. Response to Requests
Although no guarantee is made by PriceRF.com to respond to Requests for Quotes within the stated timeframe on the Site, PriceRF.com will make a good faith effort to reply within the stated time. PriceRF.com or its Affiliates are neither responsible for any delays or errors in responding to an RFQ including, with no limitation, delays or mistakes in sending a response to a Request or RFQ due to a mistake in the e-mail address or other information submitted by you or other technical issues beyond their control. PriceRF.com reserves the right not to respond to any RFQ if we determine to do so for any or no reason.
